The proposal would require registered agents to keep domestic entities’ owners’ names and addresses at their registered offices, with exceptions for some entities.
Registered agents would keep the names and addresses of owners of each domestic entity they represent. Exceptions cover entities with more than 100 owners, certain businesses with a fixed Wyoming location, and two specified types of organizations.
A registered agent would keep a domestic entity’s owners’ names and addresses at the registered office. This applies to each domestic entity represented by the agent and covers all owners, including partners, members, and shareholders. The information must be current within 60 days after a change until the entity’s first annual report is accepted, and afterward when its annual report is due. The agent must keep it in a format that can reasonably be produced on demand. The owner information is not required for an entity with more than 100 owners; one with a fixed physical location in Wyoming that serves as its main business location and is used for ordinary business; a decentralized autonomous organization; or a decentralized unincorporated nonprofit association. The bill would take effect July 1, 2026, if enacted. The update schedule would apply until the entity’s first annual report is accepted, and afterward when its annual report is due.
