If enacted, Nebraska limited liability companies could publish certain required notices electronically through a Secretary of State webpage instead of using only a legal newspaper.
If enacted, limited liability companies could publish organization and other major filing notices in a legal newspaper or electronically through the Secretary of State.
If enacted, the Secretary of State would run a free-to-view notice webpage and collect $20 from each publisher, using the money first for webpage costs.
Limited liability companies would be able to publish certain notices in a legal newspaper or on a Secretary of State webpage. This covers notices of organization, certificate amendments, mergers, conversions, and domestications. It does not cover voluntary dissolution notices, which would continue to follow section 21-150. Organization notices would still need the information required for a certificate of organization. A brief summary of an amendment, merger, conversion, or domestication would need to be published in the same way and for the same length of time as an organization notice. Proof of publication would still need to be filed with the Secretary of State. The bill states no effective date for these publication options.
The Secretary of State would create and maintain a public webpage for electronic publication of covered notices and charge the notice publisher $20 for each publication. The webpage would cover notices of organization, certificate amendments, mergers, conversions, and domestications of limited liability companies. Anyone could view, search, and retrieve the notices for free. The Secretary of State would keep enough of the fee to cover the webpage's development, operation, and maintenance. The State Treasurer would send the remaining fee balance to the Innovation Hub Cash Fund. The Secretary of State could adopt rules needed to run this electronic publication system. The bill states no effective date for creating the webpage or collecting the fee.
