If the measure takes effect, each limited-liability company series would receive a searchable state business profile, and people could request its good-standing certificate.
People may request a good-standing certificate for an individual LLC series. The certificate must list key formation details and may serve as evidence that the series can do business in Missouri.
Each limited-liability series would appear as its own searchable business entity on the Secretary of State's website, rather than only through its parent LLC.
The Secretary of State may issue a certificate of good standing for an individual domestic or foreign LLC series. Any person may apply for a certificate for an individual series, including a domestic series or a foreign series registered in Missouri. A domestic series certificate must identify the series, its formation date, its Missouri formation, and compliance with the corporation division's requirements. A foreign series certificate must identify its home-state name, Missouri name, formation jurisdiction, and compliance with the corporation division's requirements. A series must be in good standing because its parent LLC is in good standing. Subject to any stated qualification, the certificate is initial evidence that the series exists and may do business in Missouri.
The Secretary of State must give each limited-liability series its own business-entity profile and keep it searchable on the business services website. The requirement applies to each series with limited liability, and the profile must be handled like the profile of a non-series business entity. Each series must be individually profiled, maintained, and searchable no later than January 31, 2027.
